The short version: Pay your subscription, use Gleam to run your business, do not abuse the platform. We provide the service in good faith and will work hard to keep it running reliably. Either party can cancel at any time.

These Terms of Service ("Terms") form a legally binding agreement between you ("you", "your", "Customer") and Gleam Revenue ("Gleam", "we", "us"), a company headquartered in New Zealand, governing your use of the Gleam Revenue platform at gleamrevenue.com ("the Service").
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

Gleam Revenue is an analytics platform that connects to your Stripe account via OAuth and provides MRR calculations, churn analysis, revenue forecasting, and a daily email digest. The Service reads data from your connected Stripe account. It does not write to, modify, or delete any data in your Stripe account.
We reserve the right to modify, suspend, or discontinue features of the Service at any time. We will provide reasonable notice of material changes that affect how you use the Service.

Prices are listed in New Zealand dollars and are inclusive of GST where applicable. We reserve the right to change pricing with 30 days' written notice to existing subscribers.
Subscriptions are billed monthly in advance. Payment is processed by Stripe. By subscribing, you authorise Gleam to charge your payment method on a recurring monthly basis until you cancel.
We offer a 14-day free trial on all plans. No credit card is required to start a trial. At the end of the trial period, you will be asked to provide payment details to continue using the Service.
If you cancel within the first 7 days of a paid subscription (not trial), we will issue a full refund. After 7 days, subscriptions are non-refundable for the current billing period. If you believe you have been charged in error, contact us at hello@gleamrevenue.com and we will investigate promptly.

You can cancel your subscription at any time from Settings → Billing within the app. Cancellation takes effect at the end of your current billing period. You retain access to the Service until the end of the period you have paid for.
We may cancel or suspend your account if you violate these Terms, fail to pay, or if we discontinue the Service. We will provide reasonable notice before doing so except in cases of serious or repeated violations.

You agree to use the Service only for its intended purpose — analysing your own Stripe revenue data. You must not:

Gleam connects to your Stripe account using Stripe's OAuth protocol. Due to Stripe's current platform requirements, this connection uses read-write OAuth permissions. However, Gleam's application code is designed to read your data only. We never create, modify, cancel, refund, or delete any subscriptions, customers, payments, or any other objects in your Stripe account.
Our codebase includes automated continuous integration tests that fail if any write call to the Stripe API is ever introduced. You can disconnect Gleam's access to your Stripe account at any time from within your Stripe Dashboard or from Settings within Gleam.
By connecting your Stripe account, you grant Gleam read access to your subscription, customer, and payment data for the purpose of providing the analytics Service described in these Terms.

You own your data. Gleam does not claim any ownership over your Stripe data or the analytics derived from it. We process your data as a data processor on your behalf, solely to provide the Service.
We will not sell, share, or disclose your data to third parties except as necessary to operate the Service (see our Privacy Policy) or as required by law.
You are responsible for ensuring you have the legal right to connect the Stripe accounts you connect to Gleam, including any obligations you have to your own customers regarding how their data is processed.

The Gleam platform, including its software, design, trademarks, and content, is owned by Gleam Revenue and protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property beyond the limited right to use the Service as described here.
You retain all intellectual property rights in your own data. By using the Service, you grant us a limited licence to process and display your data for the sole purpose of providing the Service to you.

Gleam calculates MRR and related metrics based on data read from your Stripe account. While we take significant care to calculate these accurately — including reading from Price objects rather than invoice amounts, and handling edge cases such as annual plan normalisation and mid-cycle upgrades — we cannot guarantee that our calculations will match your own internal accounting in every case.
The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
Gleam is an analytics tool. It is not a financial reporting system, an accounting service, or a substitute for professional financial advice. Do not rely solely on Gleam's figures for financial reporting, tax purposes, or investor reporting without independent verification.

To the maximum extent permitted by New Zealand law, Gleam's total liability to you for any claim arising from or related to the Service shall not exceed the amount you paid to us in the three months preceding the claim.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, or business interruption, even if we have been advised of the possibility of such damages.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other matter that cannot be excluded by law.
If you are a consumer under the New Zealand Consumer Guarantees Act 1993, rights under that Act cannot be excluded and these Terms do not purport to do so.

You agree to indemnify and hold harmless Gleam Revenue, its officers, directors, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service in violation of these Terms or applicable law, or from your connection of Stripe accounts you do not have authority to access.

These Terms are governed by the laws of New Zealand. Any dispute arising from these Terms or your use of the Service will be subject to the exclusive jurisdiction of the courts of New Zealand.
Before initiating formal legal proceedings, we encourage you to contact us at hello@gleamrevenue.com so that we can attempt to resolve the issue informally.

We may update these Terms from time to time. For minor changes, we will update the effective date at the top of this page. For material changes that affect your rights or obligations, we will notify you by email at least 30 days before the changes take effect. Your continued use of the Service after that date constitutes acceptance of the updated Terms.
